Legal Manager

This position is responsible for providing comprehensive legal and compliance support to B. Braun's Thailand entities, including its production site, and providing legal advice to the Asia Pacific APAC region (e.g. Healthcare Compliance, Commercial Agreements, legal and compliance projects) The role requires sound judgment in managing legal risks, ensuring adherence to laws and internal guidelines, and delivering strategic legal guidance that supports the business objectives of B. Braun.

After an initial onboarding period in Thailand, it is expected that the role is prepared to transition to B. Braun's APAC Headquarters and Regional Legal & Compliance Department at B. Braun Medical Industries in Penang, Malaysia.

Legal Operations:

• Deliver high-quality, timely, and practical legal advice to business teams and management.
• Draft, review, and negotiate a wide range of commercial contracts, ensuring alignment with business objectives and risk frameworks.
• Provide legal advice on complex commercial transactions, including mergers & acquisitions (M&A) and strategic collaborations.
• Oversee Contract Lifecycle Management (CLM) processes and train employees on the digital contract platform.
• Lead digitalization of legal processes, including adoption of e-signature and workflow automation tools.
• Implementation and use of AI tools in daily Legal and Compliance operations (e.g. Microsoft Co-Pilot).
• Advise business units on regulatory filings, licenses, corporate secretarial documentation, and compliance with corporate governance obligations.
• Support the production site in interpreting and complying with applicable manufacturing, environmental, and labor laws. Make regular visits to the site to ensure that various compliances are followed.
• Prepare and maintain board and shareholder resolutions, meeting minutes, and statutory filings.
• Handle disputes and litigation, managing external counsel and monitoring outcomes.
• Track and analyze legislative and regulatory developments affecting the business.
• Manage relationships with external legal advisors and oversee legal department budgets.
• Prepare and submit monthly reports to the Head of Legal and Compliance APAC.

Compliance:

• Being the Compliance Officer for all legal entities in Thailand
• Implement and localize global compliance policies and guidelines for Thailand and support adaptation across APAC markets.
• Review Healthcare Compliance and other Compliance requests from Thailand and other countries of the APAC region.
• Provide regular compliance / healthcare compliance training and awareness programs for employees.
• Prepare and submit compliance reports to regional and global compliance offices.
• Investigate compliance incidents, identify root causes, and implement corrective actions.
• Represent B. Braun in compliance working groups and industry forums to promote ethical business practices.
• Champion a strong culture of integrity and transparency across all levels of the organization.

Qualifications:

• Bachelor's degree in law. Master's degree in law will be value addition.
• Enrolled with Thai bar.
• Minimum 6 to 8 years of professional experience in legal and compliance roles.
• Strong grounding in commercial, corporate, and healthcare law.
• Experience in regional or cross-border legal matters within a multinational environment preferred.
• Excellent command of Thai and English (spoken and written).
• Strong business acumen and ability to partner effectively with senior stakeholders.
• Exceptional drafting, negotiation, and analytical skills.
• Proficiency in Microsoft Office, Outlook, and digital signature tools (e.g., DocuSign, PDF Sign).
• Familiarity with AI tools preferred (e.g. Microsoft Copilot).
• Familiarity with AI tools (e.g. Microsoft Co-Pilot) is an advantage.
• Available to relocate to Penang in the future
