**In this position you will....**
support legal, regulatory compliance and company secretarial functions for the bolttech businesses in Thailand as a member of bolttech’s Office of General Counsel.
You may also be asked to support the bolttech Group legal and compliance function in respect of tasks in other locations, from time to time.
**You will be responsible for **
**Business Partnering**:
- Working with the business to effectively manage legal and compliance risks impacting all business lines active in Thailand and implementing control policies to ensure compliance with applicable requirements, ethical standards, and the risk appetite
- Providing support to the business on design and distribution of insurance and non-insurance products, and to handle any customer complaints
- Working closely with regional and Group stakeholders/functions including Legal and Compliance to report on, escalate and mitigate risks and issues including ensuring timely reporting of incidents
- Promoting awareness of new laws and regulations and establishing and maintaining mechanisms to monitor on-going compliance.
- Conducting research and drafting reports and summaries of research
**Contracts Review**
- Leading the preparation and negotiation of relevant documentation including contracts & agreements, legal advice, memorandums, presentations, and training
- Reviewing and drafting legal documentation including agreements such as non-disclosure agreements, contract addendums/extensions and contract renewals and terminations
- Contract end-to-end process management: contract review process, contract signature rules and oversight of maintenance of contract repository for Thailand agreements
**Regulator Relationship Management**:
- Lead and oversee the communication with regulators including insurance and data privacy and set the direction for regulatory readiness in time of rapid change;
- Oversee all government authority and regulatory communications by implementing and administering bolttech’s government / regulator communications protocols
**Risk Monitoring and Review**:
- Periodic and pro-active review of compliance risks ensuring checks and balances are in place to detect and control such risks
**Core Compliance**:
- Supporting the senior management team to lead and undertake the in-country Compliance function
- Develop and implement the Compliance Planning process which includes performing the risk assessments under the annual Compliance Plan, engaging with the business to ensure strong understanding of the compliance risk environment, and providing regular updates to the local and Group senior management, committees and/or Board
- Ensuring the implementation of policies, systems, and controls to monitor, mitigating, and managing compliance risks
- Handling ad-hoc requests for sanction screening and checks in respect of new business acceptance and claims payment
- Maintain data privacy policies and procedures
**Corporate Governance & Company Secretary**
- Advise and assist board members and senior management with corporate governance matters in Thailand;
- Perform the and/or supervise the functions of company secretary for Thailand business units where required
- Work closely with Group General Counsel & Company Secretary regarding corporate governance
- Maintain and keep up to date corporate records within Diligent Entities

**You will require the following qualifications and skills**
- Law degree holder with around 6 years of experience in legal and compliance areas
- Prior experience gained from in-house role preferably in technology and/or insurance industries
- Excellent written and verbal communication and interpersonal skills
- Excellent command of English is a must
