Our client is a leading worldwide marketer and supplier of premium branded lubricants and automotive services.
**Primary Duties and Responsibilities**
- Managing and maintaining 3rd party risk management overview for the rest of Asia. Conducting due diligence evaluations and reviews for 3rd parties in scope.
- Driving the secretarial function for the Thailand entity such as Board Meetings, Annual General Meetings, etc., comply statutorily, as well with the organization's governing document and its procedures. Including the preparation of notices, agendas, and minutes.
- Maintaining an up-to-date file and database of secretarial and other corporate-related governance documentation of the Thai legal entities. Preparing resolutions and updating corporate documentation in accordance with business needs and legal requirements. Maintaining structure and records of intercompany service, license and other agreements, in consultation with the applicable departments.
- Drafting, negotiating, and finalizing a broad range of commercial contracts and other agreements (including, but not limited to: distributor, service, and supply agreements, marketing, sponsorship and promotion agreements, and employment contracts.
- Advising Thailand business management of legal aspects of proposed decisions, such as, termination of contracts, reorganizations, employee consultation and other employment matters, competition law, intellectual property, product liability, compliance with laws, and company policies.
- Providing a broad spectrum of legal support (not limited to) on general legal advice, employment law matters, general litigation, commercial contracts, competition, personal data, etc.
- Maintaining sound relationships with the Thailand and Rest of Asia business across all functions including Commercial, Finance, Supply Chain, Marketing, Human Resources, and providing regular reporting on all such matters to relevant stakeholders.
- Assisting with miscellaneous legal administration tasks as directed by the Lead Counsel - Eastern Growth Markets as well as on all various and general legal matters for the Thailand business and Asia.
- Accomplishing ad-hoc requests, exploring opportunities to add value to work projects.
- Reviewing various business contracts per request by the Lead Counsel - Eastern Growth Markets.
**Job Qualifications**:
- Preferences and Minimum Requirements Education Degree qualified from an accredited university with 1-2 years relevant experience. MBA/ Postgrad in law preferred.
- Work experience in-house environment, legal assistant/internship, support (preferred).
- Excellent command over all aspects of Legal and Company Secretary matters Should be able to formulate strategies to deal with legal, secretarial, and compliance-related matters Well acquainted with applicable laws, guidelines, and regulations.
- Excellent communication, both written and oral, drafting and negotiation skills.
- Ability to create high-performance work systems built on best practices to deliver business goals.
- Timely decision-making ability to establish and maintain harmonious working relationships with team members, staff, and external contacts, and to work effectively in a professional team environment. Ideally, a team player who has reporting, research, and legal administration skills, and build relationships with stakeholders.
- Has the abilities in Planning, Prioritizing, Confidentiality, Reliability, Interpersonal, and Communication.
- Highly organized and detail-oriented, Ability to take direction and work independently with professional knowledge and skills.
- Ability to implement policies, procedures, and compliance standards and regulations.
- Works as a contributory team member building positive relationships to efficiently execute legal requirements, and timely, accurate, legal services.
