Fund Raising Management

JOB SUMMARY

Responsible for providing support to business development and industrial solution business regarding financial and tax due diligence, valuation and relevant commercial comments of the transaction structure, definitive agreements/ transaction documents. This includes reviewing and supervising the team on the key concern of the transaction during the due diligence, and following up the key outstanding points with relevant external parties and internal departments.

DUTIES AND RESPONSIBILITIES

Project Finance

1. Preparation of the information package (information memorandum, financial model, request for proposal, Q&A list, etc.)
2. Draft the request for proposal.
3. Draft/review the key term sheet drafted by a legal advisor.
4. Prepare and review the information memorandum and financial model.
5. Demand initiation from potential lenders
6. Provide support to discuss with potential lenders.
7. Lender proposal evaluation and finalization
8. Analyze and support renegotiating with the potential lenders
9. Preparation for the approval for lenders selection
10. Review and present presentation for evaluation of potential lenders' proposal for internal approval for lenders selection.
11. Kick-off meeting with lenders and due diligence
12. Lead the meeting for the transaction.
13. Discuss with the lenders' advisors.
14. Supervise/lead the meeting with the lenders/lenders' advisors/internal departments to ensure that all raised issues are well managed and solved.
15. Finance documents negotiation, finalization, execution and closing
16. Lead the negotiation with the lenders.
17. Follow up and find the solutions for key outstanding points with the lenders and/or lenders' advisors.
18. Make/review presentation for internal approval.
19. Financial closing and CP fulfillment
20. Supervise/monitor/follow up on the CP items.
21. Coordinate with external parties and internal departments for financial close

Corporate financing

1. Funding sources arrangement in term of debenture issuance (corporate level or project level), long-term corporate loan and any other financial instrument which would be available in the market at that time (including infrastructure fund, IPO, etc.)
2. Initiate, arrange, execute and close the appropriate funding sources.

Support of business development and industrial solution business

1. Financial and tax due diligence (FTDD)
2. Coordinate and negotiate for engagement of the FTDD advisors.
3. Make/review presentation for internal approval on engagement of the FTDD advisors.
4. Preliminary discuss with the FTDD advisors.
5. Supervise/ lead/ support the meeting with relevant parties and FTDD advisors to ensure that received information are sufficient and all issues are well mitigated.
6. Make/ review presentation for internal approval.
7. Valuation/ commercial review and support
8. Review feasibility study result.
9. Review and comments on the transaction structure, relevant term sheet and definitive agreements.
10. Supervise and comments on key commercial and assumptions before entering into the binding stage
11. Coordinate with relevant departments and external advisors to validate the key assumptions used in the financial model
12. Make/ review presentation for internal approval

JOB SPECIFICATION

• MBA or Master's Degree in Finance & Accounting or related field.
• At least 5 years of experience in Investment Banking or related field, especially project financing and M&A transaction.
• Experiences in reviewing and supervising the financial model, due diligence and presentation.
• Audit/Accounting/Business Development experience would be value added.
• Lead/supervise in project finance transaction.
• Lead/supervise in M&A transaction included definitive agreement negotiation.
• Finance, Accounting and Taxation knowledge.
• Presentation skill.
• Financial modelling.
