**Responsibilities**:
***Legal Manager provides strategic legal expertise and advice to various of business units and ensure the company group’s activities are compliant with international and national laws and regulations, negotiates and drafts contracts both significant to business and day to day operations for Company Group and JV subsidiaries specifically in relation to sale and distribution agreements, material supply agreements, manufacturing agreement, merger and acquisitions, corporate structuring, and transfer pricing.
This position is required extensive knowledge and interactive skills to liaison with a wide range of Government Sectors such as MOC, MOI, Revenue Department, BOI, TIS etc. Most are very inflexible, bureaucratic to handle their jobs.
Legal Manager is responsible for all legal matters of Company Group to achieve a following work areas:
- **1) Core Legal Advices**
To ensure that Company Group fulfill all legal obligations, and meet requirements of all applicable laws by providing professional legal advice/opinion on various business matters such as, critical law issues etc.
- To draft and review all contracts with regards to company activities to be satisfied business requirement and JV legal policy properly.
- To bring the most value for the business by way of identifying alternative courses of action to overcome legal obstacles or to enjoy the legal & tax incentives such as BOI.
- To provide proactive advice to help business avoid or minimize potential legal trouble/risks/lost (e.g., lawsuits, investigations) before it arises and to protect business. interest as well as to protect directors and management from criminal liability.
- To control & manage the business’s legal dispute to successful outcome or minimize risks & lost.
To control & manage the Legal Report (Blueprint).
**2) Intellectual Property Rights**
- To ensure that Company Group Intellectual Property rights are protected through the appropriate agreements both local and international markets.
- To assist and advise the business units in the protection and enforcement of IP rights and to manage contentious issues and litigations relating to the infringement of the IP rights.
- To renew the exist registered IP of company group on time and submit a new IP as requested by each business unit.
**3) Labor Law**
- To provide advices to HR on labor law and review employment contract in order to avoid all labor issues.
- To provide strategy, manage the cases and coordinate with the external lawyers when the companies have a disputes or lawsuits against the employees.
**4) Compliance**
- To ensure compliance of Company Group with obligations, statutory requirements and JV group policy.
- To update a new law policy/laws/regulations that significantly impact the company business and day to day operation.
- To provide training through the organization when a new policy/laws/regulations are implemented.
**5) Service Sharing and Support to JV subsidiaries**
- To support JV subsidiaries, in terms of legal and Intellectual Property, labor matters/aspects when needed.
- To assist the project of JV subsidiaries for partner agreements, and support a specific/ad hoc legal works to bring the most value to the project or to avoid/minimize any legal risk.
- To control, supervise and manage timely filing of legal documentation related to company registration, directors changes, review minutes of the meeting (BOD/Shareholders) for others Gypsum Business Units to ensure that they do their business according to the relevant laws.
All legal admin works including filing all company group corporate and legal documents, coordinating with internal and external parties and corporate registration will be carried out by Legal Assistant in consultation with Legal Manager.

- At least 5 years of experience in Corporate Law from International Law Firm or the multi
