Sr.lawyer international Investment and Corporate Law

**_Major Responsibilities_**
1.Ensure that legal matters and business Transactions of PTTGC Group shall be run in a Lawful manner in order to ensure Good Governance, protect the legal interest of the Group and minimize all medium and low legal risk exposure and expense.
- Meet with unit managers or business unit or project manager to understand their requirement or project and plant needs, plan and directions.
- Analyze and manage the cases, and assist Manager and Vice President, other business units or other departments in finding strategies and solving problems regarding legal matter.
- Conduct efficient and sufficient legal support, legal service, legal solutions and suggestion to them.
- Inform and consult with Manager and Vice President to achieve work assigned.
2.Provide legal support on general and complicated taxation and contracts suchas contract preparations in the most efficient and timely manner (in certain cases if critical and/or complicated the guidance /approval of Manager and VicePresident is needed).
- Meet with assigned officer or unit managers or business unit or project, plant manager to understand their need or project or plant needs and direct the legal support or legal solutions, suggestion to them.
- Conduct, control and prepare effective pre-contractual negotiations and contract arrangement including drafting, reviewing, negotiation, performance, dispute resolution, amendment or supplement, compromise and other legal binding document in high quality and timeliness as required by company and its affiliate.
- Coordinate with revenue department’s officer to discuss and/or obtain verbally or in written correspondence letter and/or aspects and/or policy of the government agency for taxation planning and contract perpetrations.
- Inform and consult with Manager and Vice President to achieve work assignment
3.Provide efficient and timely legal services to ensure that the group carry out the business in compliance with the law, rules and regulations at optimum benefit (in certain cases if critical and/or complicated the guidance /approval of Manager and Vice President is needed).
- Meet with assigned officer or unit managers or business unit or project, plant manager to understand their need or project or plant needs and direct the legal support or legal solutions, suggestion to them.
- Inform and consult with Manager and Vice President to achieve work assignment.
4.Ensure that important legal documents, including those that require registration and any authorized documents of the group members in responsible areas, areaccurately processed in compliance with legal regulations
- Prepare, conduct and monitor the drafting and using of all corporate registration documents and company power of attorney or proxy.
- Review and recommend on legal documents.
- Inform and consult with Manager and Vice President to achieve work assignment.
5.Develop contracts, and documents related to legal issues to users and company’s affiliates in order to ensure the accuracy and efficiency in all legal aspects (in certain cases if critical and/or complicated the guidance /approval ofManager and Vice President is needed).
- Obtain users’ feedback and comment on the difficulties in order to revise andimprove the terms and conditions in the contract.
- Inform and consult with Manager and Vice President to achieve work assignment
6.Eliminate and minimize the legal and tax risk exposure that may occur in business transaction or in the contract to be signed in order to limit the
**Qualifications**:
- Master of Laws or higher
- At least 3-5 years experience in legal profession with experience in M&A (exposure to international M&A is preferable)
- Excellent oral and written communication skills in English
- Problem-solving and analytical skills, Detail Oriented, Can-Do positive attitude.
