Corporate Lawyer

M&A and Corporate Transactions

• Assist in managing M&A transactions from start to finish, including deal structuring, due diligence, and drafting and negotiating contracts (under supervision for new joiners; independently for experienced lawyers).
• Provide legal advice to clients on complex M&A matters, ensuring compliance with relevant laws and regulations.
• Act as a representative for clients in negotiations, facilitating clear communication between all parties involved.
• Stay informed about legal developments and market trends that may impact clients' businesses.

Company Establishment & BOI / Foreign Investment Support

• Prepare and file applications for corporate registration, all types of DBD applications, foreign business licenses, and investment promotion applications (BOI).
• Coordinate with Thai authorities and conduct negotiations on behalf of clients.
• Support affiliated advisory companies on contract drafting and contractual negotiations.

Contract Drafting & Advisory

• Draft and review various business contracts and legal documents, both in Thai and English.
• Revise and provide legal opinions on agreements to ensure compliance and protect clients' interests.

Teamwork & Development

• Collaborate with teams across different practice areas to support clients in achieving their business goals.
• Manage and guide junior team members to ensure work quality and timelines are met (for experienced hires).
• For fresh graduates: work under close guidance and gradually develop the ability to handle matters independently.

Required

• Bachelor's degree or higher in Law from a reputable university.
• Thai Lawyer License is a must.
• Strong command of Thai and English (written and spoken).
• Good legal research, drafting, and analytical skills.
• High sense of responsibility, ability to work under deadlines, and willingness to learn.
• Fresh graduates are welcome to apply.

Preferred

• Thai Bar membership (an advantage but not mandatory).
• At least 3+ years of experience in corporate legal services, including company due diligence, company registration, Foreign Business License (FBL) and BOI applications, amendment of company details, and license obtention.
• Ability to handle complex legal matters independently and manage junior team members.
• Prior experience in M&A transactions, contract drafting, or cross-border corporate advisory.
