- Identifying and Supervising and/or reviewing valuations prepared for companies and assets for purposes of merger and acquisition type transactions and providing independent advice for related party/take-over type transactions.
- Advising clients on the formulation and implementation of corporate finance related schemes.
- Undertake presentations to institutional investors, fund managers and potential clients in securing mandates.
- Planning, implementing and reviewing underwriting proposals for corporate finance related assignments.
- Supervising and reviewing board papers in respect of corporate exercises.
- Supervising and reviewing announcement and circular in respect of corporate exercises.
- Reviewing submissions and public documents for implementation of corporate exercises.
- Assisting in due diligence exercises.
- Providing guidance to subordinates on technical issues relating to the corporate exercises and providing support to ensure smooth implementation of the exercises
- Provide coaching, guidance and feedback to staff in view of their work performance.
- Exercise and maintain a high standard of integrity and professionalism in dealing with clients and strive to preserve and enhance the good reputation and goodwill of the Company as well as build close rapport and relationship with existing clients.
- At all times observe, comply and be conversant with all acts, laws, articles of associations, rules and regulations and guidelines in the execution of corporate finance transactions/exercises affecting the Company’s business and the securities and banking industries and be conversant with all statutory modifications and reenactments as may be introduced thereto.
- Ensure compliance with relevant Acts, Laws, Rules of the Bank of Thailand, Stock of Exchange of Thailand, Stock Exchange Commission and guidelines issued by the regulatory bodies, Information Technology Security Standards Code (ITSS) and the Company’s internal policies and procedures.
- Establish, maintain and enforce a proper supervisory programme and competent system of internal controls.
- Display teamwork and work closely with the other Board Members and other senior management personnel at all times.
